  1. ALLWAY SYNC END USER SOFTWARE LICENSE AGREEMENT
  2.  
  3. IMPORTANT: YOU SHOULD CAREFULLY READ THIS 
  4. LEGAL AGREEMENT BEFORE INSTALLING THIS PACKAGE.
  5. BY INSTALLING ALLWAY SYNC, YOU ACCEPT ALL THE TERMS 
  6. AND CONDITIONS OF THIS AGREEMENT AND AGREE 
  7. THAT YOU WILL BE LEGALLY BOUND BY THEM. 
  8. IF THESE TERMS AND CONDITIONS ARE NOT 
  9. ACCEPTABLE TO YOU, DO NOT CONTINUE 
  10. TO INSTALL THIS SOFTWARE.
  11.  
  12. ALLWAY SYNC LICENSE TERMS
  13.  
  14. Usov Lab ("Developer") grants you ("Customer") a license to use Allway Sync,
  15. Allway Sync 'n' Go or Allway Sync 'n' Go U3 ("Allway Sync"), subject to 
  16. the separate, applicable provisions below. 
  17.  
  18. For purposes of the provisions contained below, the 
  19. term "Customer" shall also apply to Non-Profit Customers 
  20. as defined below, unless expressly stated otherwise.
  21.  
  22. I. LICENSE FOR FREE VERSION OF ALLWAY SYNC (ALLWAY SYNC FREE)
  23.  
  24. Non-Profit Customers (but not other Customers) are allowed 
  25. to use Allway Sync for free, subject to limitations 
  26. as described below. All other Customers are allowed to use 
  27. Allway Sync Free for thirty days for evaluation purposes 
  28. only. 
  29.  
  30. Non-Profit Customer is defined as a customer who uses Allway Sync
  31. in a non-commercial environment for non-profit activity.
  32. All Customers who use Allway Sync in a commercial, business or government
  33. setting, or in a military institution, or when engaged in profitable
  34. activity at home are not Non-Profit Customers for the purposes of this 
  35. agreement. Customers who are students of accredited universities 
  36. and high schools are classified as Non-profit Customers even if 
  37. their school or university is owned and operated by a government.
  38.  
  39. Customer agrees that Allway Sync Free has certain limitations and
  40. that these limitations may change over time without notice 
  41. or obligation on the part of Developer. Currently, these 
  42. limitations allow Customer to synchronize no more than 20,000 files 
  43. per 30-day period.

  45.  
  46. II. LICENSE FOR ALLWAY SYNC PRO VERSION
  47.  
  48. Customer may acquire Pro verions of Allway Sync, Allway Sync 'n' Go
  49. or Allway Sync 'n' Go U3 ("Allway Sync Pro") from Developer's website 
  50. or from other distribution channels.
  51.  
  52. Customer who acquires a license for Pro version of Allway Sync is granted 
  53. a nonexclusive license to install and run this software on a single computer only.
  54.  
  55. Customer who acquires a license for Pro version of Allway Sync 'n' Go is 
  56. granted a nonexclusive license to install this software on a single removable 
  57. device only and run it from the removable device on multiple computers. 
  58.  
  59. Customer who acquires a license for Pro version of Allway Sync 'n' Go U3 
  60. is granted a nonexclusive license to install this software on a single 
  61. U3-enabled device only and run it from the U3-enabled device on multiple computers. 
  62.  
  63. However, Allway Sync Pro Customer is allowed to synchronize data with a 
  64. remote computer (using a network drive) without obtaining a license for 
  65. that computer.
  66.  
  67. Customer shall not use Allway Sync Pro for commercial timesharing.
  68. Customer shall not rent any Allway Sync Pro license to other parties.
  69.  
  70. LICENSE ACTIVATION: Customer hereby acknowledges and accepts that the Allway 
  71. Sync Pro activation process may be used to enforce provisions of this Agreement
  72. that allow the use of one Allway Sync Pro license only on one computer or 
  73. removable device. Customer agrees to the activation process for Allway Sync 
  74. Pro during which the manual entry of an activation code may be required. 
  75. Developer may supply Customer with an activation code, which is bundled with 
  76. Customer's hardware Allway Sync is installed on. Customer agrees to provide 
  77. Developer with a 64-bit hardware identifier calculated by Allway Sync installation
  78. when requested by Developer. Customer may send this hardware identifier to 
  79. Developer by e-mail, submit via a web form on Develper's website or transmit in 
  80. on-line activation process implemented by Allway Sync when it's available. 
  81.  
  82. ALLWAY SYNC PRO USERS MANAGEMENT SYSTEM: Personal data 
  83. of customers that purchase Allway Sync Pro is stored in 
  84. the Pro Users Management System (PUMS).
  85. Only the data that customers or their agents enter into 
  86. the Allway Sync Pro purchase web page are stored in the PUMS database.
  87.  
  88. Customer hereby allows Developer to store this data on Developer's
  89. server. This data shall be used for purchase tracking, reactivation
  90. of Allway Sync Pro licenses, refund and chargeback tracking
  91. and other customer service purposes.
  92.  
  93. Customer allows Developer to send infrequent product 
  94. update newsletters and promotional offers
  95. to the e-mail and postal addresses stored in PUMS.
  96.  
  97. REFUNDS: Developer will refund the full amount paid 
  98. for a license of Allway Sync Pro if: 
  99. - The refund request is received by Developer within 60 days 
  100.   of the date of purchase of Allway Sync Pro by Customer, and
  101. - Customer provides Proof of Purchase, 
  102.   which can be the original e-mail receipt for Allway Sync Pro,
  103.   credit card or bank statement showing Allway Sync Pro purchase.
  104.  
  105. III. GENERAL PROVISIONS FOR ALLWAY SYNC FREE AND PRO
  106.  
  107. Customer shall not remove any product identification, copyright
  108. notices, or other notices or proprietary restrictions from 
  109. Allway Sync.
  110.  
  111. Customer shall not cause or permit reverse engineering,
  112. disassembly, or decompilation of Allway Sync.
  113.  
  114. COPYRIGHT/OWNERSHIP OF PROGRAM: Allway Sync is the proprietary 
  115. product of Developer and its licensors and it is protected 
  116. by copyright, trade secret and other intellectual property laws.
  117.  
  118. Customer acquires only the right to use Allway Sync and does not 
  119. acquire any rights, express or implied, to Allway Sync or media 
  120. containing Allway Sync other than those specified in this License.
  121.  
  122. Developer, or its licensor, shall at all times retain all rights, 
  123. title, interest, including intellectual property rights, 
  124. in Allway Sync and media.
  125.  
  126. TRANSMISSION OF DATA IN AUTOUPDATE:
  127. At Customer discretion Allway Sync may automatically check 
  128. Developer's server (http://syncapp.com) for new versions and 
  129. security patches approximately once a week. If it finds a version 
  130. that is newer than the version that is currently installed, Allway Sync will
  131. suggest that Customer upgrades to the more recent version. 
  132. The checking of new version is limited to the 
  133. following technical data to be transmitted to Developer's server:
  134. current Allway Sync version on the user's machine, a randomly generated 
  135. 128-bit session ID and set of standard HTTP headers. Customer hereby allows 
  136. such transmissions to occur.
  137.  
  138. NO WARRANTIES OF ANY KIND: ALLWAY SYNC IS PROVIDED "AS IS" 
  139. WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  140. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES 
  141. OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
  142. DEVELOPER DOES NOT WARRANT THAT THE 
  143. FUNCTIONS CONTAINED IN ALLWAY SYNC WILL MEET CUSTOMER'S 
  144. REQUIREMENTS OR OPERATE IN AN ENVIRONMENT CREATED 
  145. EITHER BY CUSTOMER OR ANY THRID PARTY OR THAT THE 
  146. OPERATION OF ALLWAY SYNC WILL BE UNINTERRUPTED OR ERROR 
  147. FREE OR THAT ALLWAY SYNC ERRORS WILL BE CORRECTED. 
  148. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE 
  149. OF ALLWAY SYNC IS WITH CUSTOMER. 
  150.  
  151. LIMITATION OF LIABILITY: NEITHER DEVELOPER NOR 
  152. ANY OF ITS LICENSORS SHALL BE LIABLE FOR ANY DAMAGES 
  153. CAUSED BY ALLWAY SYNC INCLUDING BUT NOT LIMITED TO INDIRECT, 
  154. INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES 
  155. FOR LOSS OF PROFITS, LOSS OF SAVINGS, REVENUE, DATA, 
  156. INCURRED EITHER BY CUSTOMER OR ANY THIRD PARTY, EVEN IF 
  157. DEVELOPER HAS BEEN ADVISED 
  158. OF THE POSSIBILITY OF SUCH DAMAGES.
  159.  
  160. TERMINATION: This License is effective until terminated. 
  161. Customer may terminate this Agreement at any time by uninstalling
  162. Allway Sync and deleting all its files. This License will 
  163. terminate immediately without notice from Developer
  164. if Customer fails to comply with any provision of this License. 
  165. Upon termination or expiration of this License Customer must 
  166. uninstall Allway Sync and delete all its files.
  167.  
  168. EXPORT LAW ASSURANCE: Customer shall comply fully with all laws and
  169. regulations of the United States and other countries (Export Laws) 
  170. to assure that neither Allway Sync, nor any direct products thereof 
  171. are exported, directly or indirectly, in violation of Export Laws, 
  172. or are used for any purpose prohibited by Export Laws, including, 
  173. without limitation, nuclear, chemical, or biological weapons 
  174. proliferation. If Allway Sync has been rightfully obtained by you 
  175. outside of the United States, you agree that you will not re-export 
  176. Allway Sync nor any other technical data received, nor 
  177. the direct product thereof, except as permitted by the laws and 
  178. regulations of the United States and the laws and regulations 
  179. of the jurisdiction in which you obtained Allway Sync.
  180.  
  181. JURISDICTION AND DISPUTES: This Agreement shall be governed 
  182. by the laws of Virginia. All disputes hereunder shall be 
  183. resolved in the applicable state or federal courts of Virginia.
  184. The parties consent to the jurisdiction of such courts, 
  185. agree to accept service of process by mail, and waive
  186. any jurisdictional or venue defenses otherwise available. 
  187. In any litigation arising out of this Agreement or related 
  188. to the use or function of Allway Sync, Developer 
  189. shall be entitled to all legal costs and attorney's fees 
  190. incurred in mediation, arbitration, suit and on appeal.
  191.  
  192. SEVERABILITY: If for any reason a court of competent jurisdiction
  193. finds any provision of this License or portion thereof, to be
  194. unenforceable, that provision of the License shall be enforced to the
  195. maximum extent permissible so as to affect the intent of the parties,
  196. and the remainder of this License shall continue in full force and
  197. effect.
  198.  
  199. COMPLETE AGREEMENT: This License constitutes the entire agreement
  200. between the parties with respect to the use of Allway Sync and the
  201. related documentation, and supersedes all prior or contemporaneous
  202. understandings or agreements, written or oral, regarding such subject
  203. matter. No amendment to or modification of this License will be
  204. binding unless in writing and signed by a duly authorized
  205. representative of Developer.

  207. CUSTOMER HEREBY ACKNOWLEDGES THAT CUSTOMER HAS READ 
  208. THIS AGREEMENT, UNDERSTANDS IT AND AGREES TO BE BOUND 
  209. BY ITS TERMS AND CONDITIONS.
